The debate over the 2025 amendments to the Delaware General Corporation Law was the most heated in memory, and culminated in the adoption of broad safe harbors for transactions with controlling stockholders and other insiders, as well as language narrowing the information available pursuant to a stockholder books and records demand. While the amendments are now law, it’s unlikely that the fight over them and what they mean for Delaware corporations is going to end anytime soon.

*H.264 video (required for viewing Vimeo videos) is only supported in Firefox for Windows 7 and later. Firefox versions on Windows XP are no longer supported for playback.

*Older versions of Internet Explorer (IE 10, 9, 8, etc) that lack support for the TLS 1.2 protocol and HTML5 cannot be used to play Vimeo videos. As of January 12, 2016, Microsoft has stopped releasing updates to older versions of IE.

What you can do if you can't access the live program: If you have a scheduling conflict or have problems accessing webcasts generally (due to firewalls, etc.), an audio archive of the webcast will be posted a few hours after the program - and a text transcript of the program will be posted on DealLawyers.com about two weeks after the live webcast.
